Terms and Conditions
The rules that govern access to Linkedivo, business profiles, content, communications, subscriptions, and platform services.
1. Agreement and acceptance
These Terms and Conditions (“Terms”) form a legally binding agreement between you and Linkedivo (“Linkedivo,” “we,” “us,” or “our”) governing your access to and use of our websites, applications, communications, business profiles, dashboards, enquiry tools, and related products and services (collectively, the “Services”).
By accessing or using the Services, creating an account, claiming or managing a business, submitting content, or accepting these Terms electronically, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you use the Services for an organization, you represent that you are authorized to bind it, and “you” includes that organization.
If you do not agree, do not access or use the Services.
2. Eligibility and authority
- You must be legally capable of entering into this agreement and meet any minimum age required where you live.
- Business and paid features are intended for adults and authorized representatives of legitimate organizations.
- You must not use the Services if applicable law prohibits your use, if we previously suspended you without written permission to return, or if you are subject to sanctions that prohibit the relationship.
- You represent that registration, ownership, licensing, and authority information you provide is truthful, current, and complete.
3. Accounts and security
You are responsible for activity occurring through your account, maintaining accurate information, safeguarding credentials and devices, and limiting access to authorized people. You must promptly notify us of suspected unauthorized access.
Accounts and permissions may not be sold, transferred, leased, shared outside authorized teams, or used to impersonate another person or business. We may require identity, authority, ownership, or contact verification at any time and may refuse or revoke verification in our discretion.
4. Linkedivo’s role
Linkedivo provides technology for discovery, publishing, communication, and business management. Unless expressly stated in a separate written agreement, we are not the seller, manufacturer, employer, agent, broker, insurer, professional adviser, or service provider for businesses listed on the Services.
We do not guarantee any business, user, lead, review, offer, license, price, product, service, transaction, identity, availability, quality, safety, legality, accuracy, or result. Users decide whether to communicate or transact and do so at their own risk. Any contract for products or services is directly between the relevant users.
5. Acceptable use
- Comply with law, these Terms, feature rules, and the rights of others.
- Do not post illegal, fraudulent, deceptive, defamatory, discriminatory, threatening, exploitative, sexually abusive, privacy-invasive, infringing, malicious, or materially misleading content.
- Do not manipulate reviews, rankings, engagement, leads, verification, availability, prices, or platform metrics.
- Do not scrape, crawl, harvest, index, copy, monitor, reverse engineer, bypass access controls, probe security, introduce malware, overload infrastructure, or use automated systems without our prior written permission, except for ordinary search-engine indexing that we permit.
- Do not use information obtained through the Services to spam, discriminate, stalk, harass, build unauthorized databases, train competing systems, resell leads, or contact people contrary to their choices or applicable communications law.
- Do not create accounts or content designed to evade enforcement, impersonate others, conceal ownership, or interfere with the Services.
6. Your content and responsibility
“User Content” includes business information, text, reviews, messages, feedback, names, trademarks, logos, photos, audio, video, files, offers, products, services, links, and any other material you submit, upload, publish, transmit, or make available through the Services.
You retain ownership of original User Content as between you and Linkedivo. You are solely responsible for all User Content and activity associated with your account. Linkedivo does not assume authorship, control, endorsement, or legal responsibility for User Content merely because it is hosted, formatted, moderated, translated, promoted, or made discoverable through the Services.
You represent and warrant that your User Content is accurate where presented as fact; that you own it or hold all necessary rights, releases, consents, and permissions; and that our permitted use will not violate law, confidentiality, privacy, publicity, intellectual-property, consumer-protection, advertising, employment, or other rights.
7. License you grant Linkedivo
You grant Linkedivo and its affiliates a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to host, store, reproduce, use, adapt, modify, translate, create derivative works from, analyze, distribute, publish, publicly perform, publicly display, communicate, index, cache, make searchable, promote, market, and otherwise process User Content in any media or format, whether now known or later developed, for operating, securing, improving, developing, commercializing, and promoting Linkedivo and the Services.
This license includes the right to format content for different devices, use public business names, logos, trademarks, profile details, and representative excerpts in Linkedivo marketing, demonstrations, sales materials, social posts, search results, partner distribution, and commercial promotion without additional notice or compensation, subject to applicable law.
The license continues for as long as User Content remains on the Services and for a reasonable period afterward for backups, cached or indexed copies, legal compliance, safety, evidence, and technical removal. Rights relating to aggregated or de-identified data, feedback, materials already incorporated into promotional or derivative works, and content shared or sublicensed before removal survive to the extent permitted by law.
You waive, and agree not to assert, moral rights or similar rights to the extent legally permitted and, where waiver is not permitted, consent to acts within the license above.
8. Feedback and platform data
If you provide ideas, suggestions, evaluations, or feedback, you grant us a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use, commercialize, disclose, modify, and exploit it for any purpose without restriction, attribution, or compensation.
Linkedivo owns service-generated analytics, classifications, rankings, taxonomies, configurations, templates, aggregated insights, and de-identified data, even where derived from use of the Services, provided they do not identify you contrary to applicable law.
9. Linkedivo intellectual property
The Services, including software, design, interfaces, databases, compilation, selection, arrangement, branding, logos, domain names, documentation, algorithms, taxonomies, graphics, and all related intellectual-property rights, are owned by or licensed to Linkedivo. All rights not expressly granted are reserved.
Subject to these Terms, Linkedivo grants you a limited, personal or internal-business, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Services as made available. No ownership is transferred. You may not commercially exploit, copy, resell, white-label, frame, mirror, or create a competing service from any part of the Services without prior written permission.
10. Reviews, moderation, and disputes
Reviews and other community content reflect the contributor’s views, not Linkedivo’s. Contributors must describe genuine experiences and disclose material relationships where required. Businesses must not offer undisclosed incentives, suppress legitimate criticism, retaliate, or submit reviews about themselves.
We may, but are not required to, screen, investigate, label, rank, limit, refuse, edit for formatting, unpublish, or remove content. Moderation decisions may rely on automated tools, reports, contextual signals, and our judgment. We do not guarantee that all prohibited content will be detected or that all reports will be resolved to any party’s satisfaction.
11. Business profiles, leads, and transactions
Business operators are solely responsible for profile accuracy, qualifications, licenses, pricing, offers, inventory, availability, legal disclosures, communications, quotes, contracts, taxes, refunds, products, services, and treatment of leads and customer information.
Linkedivo does not guarantee lead volume, lead quality, profile traffic, search position, revenue, conversion, or business outcomes. Enquiries may be incomplete, fraudulent, duplicated, misdirected, or withdrawn. You must independently verify information and obtain any consent required before contacting or marketing to a lead.
Users are solely responsible for investigating a business and the suitability of any transaction. Linkedivo is not a party to, and has no responsibility for, disputes, non-performance, injuries, losses, warranties, chargebacks, or claims between users.
12. Paid services, subscriptions, and taxes
Paid features may be subject to an order, plan description, or additional terms. Prices, features, entitlements, and limits may change prospectively. Unless stated otherwise, subscriptions renew automatically for successive billing periods until cancelled before renewal.
You authorize us and our payment providers to charge applicable fees, recurring charges, taxes, and authorized adjustments to your payment method. You must keep billing information current. Failed payment may result in loss of features, suspension, collection activity, or termination.
Fees are non-refundable except where we expressly state otherwise or law requires. Promotional credits have no cash value, may expire, and may be revoked for abuse. You are responsible for applicable taxes except taxes imposed on Linkedivo’s income.
13. Changes to the Services
We may add, remove, modify, restrict, suspend, discontinue, reprice, or place limits on any Service, feature, content, entitlement, storage, business allowance, or availability at any time. We do not promise to store or continue displaying User Content and the Services are not a backup service.
Where reasonably practical and legally required, we will provide notice of material changes affecting paid commitments. We are not liable for modifications, downtime, discontinued features, loss of compatibility, or changes in visibility or ranking to the extent permitted by law.
14. Suspension, restriction, and termination
To the fullest extent permitted by law, Linkedivo may refuse service, restrict features, reduce reach, remove or preserve content, revoke verification, suspend, disable, or permanently terminate any account, business profile, permission, subscription, or access at any time if we believe it is appropriate for legal, safety, security, operational, reputational, commercial, or policy reasons.
We may act immediately and without prior notice, opportunity to cure, refund, or detailed explanation, including where we suspect risk, fraud, abuse, unauthorized access, non-payment, infringement, misleading conduct, harm to users or Linkedivo, or violation of these Terms. We are not required to disclose information that could compromise security, investigations, confidential methods, another person’s rights, or legal obligations.
Where mandatory law requires notice, reasons, an appeal, or a refund, we will provide what that law requires. Any appeal channel we offer is discretionary unless legally required, and submitting an appeal does not stay enforcement.
You may stop using the Services or close your account, subject to outstanding obligations. Termination does not eliminate amounts owed or provisions intended by their nature to survive, including licenses, ownership, disclaimers, limitations, indemnity, dispute terms, and record retention.
15. Third-party services and links
The Services may contain third-party content, websites, maps, embeds, integrations, payment services, social features, or advertisements. Linkedivo does not control or endorse them and is not responsible for their availability, accuracy, security, privacy, products, acts, or omissions. Your use may be governed by separate third-party terms.
16. Electronic communications
You agree that we may deliver agreements, disclosures, invoices, notices, and service communications electronically through the Services or using contact information you provide. You are responsible for keeping that information current.
Marketing communications will be sent in accordance with applicable law. You may unsubscribe from promotional email, but cannot opt out of essential account, transaction, legal, or security messages while using the Services.
17. Intellectual-property complaints
If you believe content infringes your rights, send a detailed notice identifying the work, the allegedly infringing material and location, your contact details, the basis of your claim, and a statement that the information is accurate and submitted in good faith. We may forward the notice to the affected user and handle it under applicable law.
We may remove disputed material and terminate repeat or serious infringers. False or abusive notices may result in account action and legal responsibility.
18. Privacy
Our Privacy Policy explains how we collect, use, disclose, and safeguard personal information. By using the Services, you acknowledge that Policy. Business users receiving personal information through the Services must independently comply with privacy, anti-spam, consumer-protection, and data-security laws.
19. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” LINKEDIVO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SUPPLIERS DISCLAIM ALL EXPRESS, IMPLIED, STATUTORY, AND COLLATERAL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, NON-INFRINGEMENT, SECURITY, AVAILABILITY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.
WE DO NOT WARRANT THAT THE SERVICES OR ANY CONTENT, BUSINESS, USER, LEAD, RESULT, COMMUNICATION, OR AUTOMATED OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, SAFE, SECURE, UNINTERRUPTED, ERROR-FREE, FREE OF HARMFUL COMPONENTS, OR SUITABLE FOR YOUR PURPOSE. YOU ARE RESPONSIBLE FOR VERIFYING INFORMATION, MAINTAINING BACKUPS, AND USING APPROPRIATE PROFESSIONAL JUDGMENT.
20. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LINKEDIVO PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, REPUTATION, DATA, CONTENT, OR ANTICIPATED SAVINGS; BUSINESS INTERRUPTION; PERSONAL OR PROPERTY LOSS ARISING FROM USER CONDUCT; OR THE COST OF SUBSTITUTE SERVICES, REGARDLESS OF THEORY AND EVEN IF ADVISED OF THE POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ALL LINKEDIVO PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID DIRECTLY TO LINKEDIVO FOR THE AFFECTED SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) CAD $100.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited. Some jurisdictions do not permit certain exclusions, so portions of this section may not apply to you.
21. Indemnity
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless the Linkedivo parties from claims, proceedings, damages, losses, liabilities, penalties, judgments, settlements, and reasonable legal and professional fees arising from your User Content, business, products or services, transactions, account activity, breach of these Terms, violation of law, or infringement of another person’s rights.
We may control the defence and settlement of an indemnified matter, and you will reasonably cooperate. You may not settle in a way that admits fault by or imposes obligations on a Linkedivo party without our written consent.
22. Governing law and disputes
These Terms and disputes relating to them or the Services are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles.
Before filing a claim, each party will make a good-faith effort to resolve it through written notice describing the issue and requested resolution. If unresolved after 30 days, the parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, except that either party may seek urgent injunctive relief in a court with jurisdiction.
Mandatory consumer rights and jurisdiction rules that cannot legally be waived remain unaffected.
23. Changes to these Terms
We may modify these Terms prospectively. The “Last updated” date identifies the current version. If changes are material or notice is required, we may notify you through the Services, by email, or by another reasonable method. Continuing to use the Services after the effective date constitutes acceptance. If you do not agree, you must stop using the Services.
We may implement changes immediately where reasonably necessary for a new feature, legal compliance, security, abuse prevention, or to address an urgent risk.
24. General terms
- These Terms, the Privacy Policy, applicable order terms, and policies expressly incorporated by reference are the entire agreement concerning the Services.
- If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will continue.
- A failure to enforce a provision is not a waiver. A waiver must be in writing and signed by Linkedivo.
- You may not assign these Terms or an account without our written consent. We may assign them, in whole or part, to an affiliate or in connection with financing, reorganization, merger, or sale.
- Linkedivo is not liable for delay or failure caused by events beyond reasonable control.
- Headings and summaries are for convenience and do not limit the operative text. “Including” means “including without limitation.”
- No agency, partnership, joint venture, employment, franchise, fiduciary, or exclusive relationship is created.
